Terms of Service

By accessing or using Glianex ("the Service"), you ("User," "you") agree to be bound by these Terms of Service ("Terms") on behalf of yourself and your organization. If you do not agree to these Terms, do not use the Service. These Terms form a binding agreement between you and Glianex, Inc. ("Glianex," "we," "our").

Glianex retrieves and presents information from documents you upload. It does not provide medical advice, clinical recommendations, diagnoses, or treatment guidance. All information returned by Glianex is sourced from your organization's uploaded protocols and must be independently verified by a qualified healthcare professional before any clinical action is taken.

You acknowledge that: (a) AI systems can make errors; (b) protocol documents may be outdated or contain errors; (c) no automated system can replace the judgment of a qualified clinician; (d) Glianex should never be used as a substitute for clinical training, judgment, or consultation with a licensed healthcare professional.

You agree to use Glianex only for lawful purposes and in accordance with these Terms. You must not:

• Upload documents you do not have the right to share or that contain protected patient health information (PHI) under HIPAA or equivalent laws
• Use the Service to make autonomous clinical decisions without appropriate professional oversight
• Attempt to circumvent, reverse-engineer, or interfere with the Service or its security measures
• Share access credentials with unauthorized users or allow use beyond your organization's subscription
• Use the Service in any way that could harm patients, staff, or third parties

You are solely responsible for the accuracy, currency, and completeness of all documents uploaded to Glianex. Glianex retrieves information verbatim from what you upload. You must ensure that:

• All uploaded protocols are current, approved versions sanctioned by your institution
• Superseded protocols are removed or replaced promptly
• Documents are reviewed on a regular schedule consistent with your institution's governance requirements

Glianex bears no responsibility for harms arising from inaccurate, outdated, or incorrect documents uploaded by your organization.

Pilot plan ($299/month). Provides access for up to 25 documents and up to 10 team members, plus query history, analytics, and team management. Billed monthly. No annual commitment required.

Department plan ($799/month). Provides unlimited documents and up to 50 team members, plus audit log, document expiry alerts, and priority support. Billed monthly.

Enterprise. Custom pricing for institution-wide deployments. Contact us for terms.

Subscriptions renew automatically each billing period. You may cancel at any time through the billing portal; your access continues until the end of the paid period. No refunds are issued for partial periods. Glianex reserves the right to change pricing with 30 days' written notice.

Glianex and its underlying software, design, and technology are owned by Glianex, Inc. and protected by intellectual property laws. You retain ownership of all documents and content you upload. You grant Glianex a limited, non-exclusive license to process and store your content solely for the purpose of providing the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLIANEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, LOSS OF PROFITS, LOSS OF DATA, MEDICAL HARM, OR BUSINESS INTERRUPTION, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF GLIANEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL GLIANEX'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT PAID BY YOUR ORGANIZATION FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Glianex, its officers, directors, employees, and agents from any claims, liabilities, damages, or costs (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) content you upload; (c) your violation of any third-party rights; or (d) any clinical decisions made based on information retrieved from the Service.

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, Glianex, or third parties. Upon termination, your right to use the Service immediately ceases. You may request an export of your data within 30 days of termination.

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or via a notice within the application. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, in Delaware.
